By accessing or using Mato (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
You must be at least 18 years of age to use this Service. If you are under 18, you may only use the Service with the involvement and permission of a parent or legal guardian who agrees to be bound by these Terms.
By using the Service, you represent that you have the legal capacity to enter into a binding agreement.

To access certain features of the Service, you must register for an account. When registering, you agree to:
Each organization is permitted one primary account. Additional user seats may be added according to your subscription plan. You may not share account credentials with unauthorized individuals.
Mato offers various subscription plans with different features and pricing. Current pricing information is available on our Pricing page.
Billing Cycles: Subscriptions are billed monthly or annually, depending on your chosen plan. Billing begins on the date of your initial subscription and recurs on the same date each billing period.
Per-Episode Fees: Some plans include additional per-episode fees for live interview content. These fees are billed at the end of each billing cycle based on usage.
Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.
Refunds: Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for a prorated refund within the first 30 days of purchase. Per-episode fees are non-refundable once the episode has been produced.
You agree not to use the Service to:

Your Content: You retain ownership of all podcast content, recordings, and materials you create using the Service (“Your Content”). This includes the audio recordings, show concepts, and creative direction you provide.
License to Mato: By using the Service, you grant Mato a worldwide, non-exclusive, royalty-free license to host, store, process, and distribute Your Content solely for the purpose of providing and improving the Service.
AI-Generated Content: Content generated by our AI (including show notes, transcripts, and promotional materials) based on Your Content is owned by you, subject to our license for Service operation.
Guest Content: You are responsible for obtaining appropriate permissions and releases from guests who appear on your podcasts. This includes the right to record, distribute, and monetize content featuring their voice and likeness.
Mato's IP: The Service, including its underlying technology, software, algorithms, user interface, and documentation, is owned by Mato and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.
Trademarks: “Mato,” our logo, and other marks associated with the Service are trademarks of Mato. You may not use our trademarks without prior written permission, except as necessary to describe your use of the Service.
Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant Mato the right to use such feedback without restriction or compensation to you.
Service “As Is”: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Uptime Guarantee: We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may experience downtime for maintenance, upgrades, or unforeseen circumstances.
AI Limitations: Our AI hosts are sophisticated but imperfect. AI-generated content may contain errors, inaccuracies, or inappropriate responses. You are responsible for reviewing and approving all content before distribution. AI performance may vary based on interview complexity, guest participation, and technical factors.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
IN NO EVENT SHALL MATO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MATO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Mato and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
Termination by You: You may terminate your account at any time by canceling your subscription and requesting account deletion through your account settings or by contacting us.
Termination by Mato: We may suspend or terminate your access to the Service immediately, without prior notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will provide a reasonable period (typically 30 days) for you to export Your Content. After this period, we may delete Your Content from our systems.
Data Export: You may request an export of Your Content at any time during your active subscription or within 30 days of termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in English in Delaware.
Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Mato individually. You waive any right to participate in class actions or class arbitrations.
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or through the Service before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service before the changes take effect.
Non-material changes (such as clarifications or corrections) may be made without prior notice.
Certain podcast shows on the Mato platform offer a Q&A SMS feature that allows listeners to submit questions by text message. By texting the show's designated phone number, you agree to the following terms:
Program Description: After texting the show number, you will receive a confirmation SMS and must reply YES to opt in. Once opted in, you may receive SMS notifications when your question is selected and featured in an upcoming episode.
Message Frequency: Message frequency varies based on the number of questions you submit and whether they are selected for an episode. You will always receive the initial opt-in confirmation. Additional messages are sent only when relevant to your submission.
Msg & Data Rates: Message and data rates may apply. Contact your wireless carrier for details on your messaging plan.
Opt-Out: You can cancel SMS messages at any time by replying STOP to any message. After replying STOP, you will receive a one-time confirmation message and will not receive further SMS messages from that show's Q&A number.

Voluntary Participation: The SMS Q&A program is entirely optional. You are not required to participate in order to listen to any show or use the Mato platform.
